By accessing or using Chatsy ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

These terms apply to all users, including visitors, registered users, and businesses deploying Chatsy chatbots.

02Description of Service

Chatsy provides an AI-powered customer support platform that includes:

• AI agents that can retrieve material from sources you add
• Web chat and human takeover features
• Knowledge base tools
• Ticket and conversation management
• Usage and conversation reporting

Features, usage limits, model access, and team seats vary by plan. We may modify, suspend, or discontinue part of the Service.

03User Accounts

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these terms.

04Acceptable Use

You may not use Chatsy to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit harmful, offensive, or inappropriate content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service for spam or unsolicited communications
• Impersonate any person or entity
• Collect personal data of users without consent

We reserve the right to remove content and terminate accounts that violate these guidelines.

05Your Content

You retain ownership of all content you upload to Chatsy ("Your Content"). By uploading content, you grant us a license to:

• Process and store Your Content to provide the Service
• Index and retrieve Your Content for agent responses
• Send relevant content to AI and integration providers when a requested feature requires it
• Display Your Content and generated responses to your end users

This license lasts only as long as needed to provide the Service or meet legal obligations. Removal, account closure, retention, and privacy requests are handled as described in our Privacy Policy.

06AI-Generated Responses

Chatsy uses third-party AI models and available source context to generate responses. You acknowledge that:

• AI responses may be inaccurate, incomplete, or unrelated to the source material
• Model availability and credit use vary by plan and may change
• You are responsible for reviewing and configuring AI behavior
• You must tell end users they are interacting with AI where law or your policies require it
• Critical decisions should involve human review

Chatsy does not guarantee that an AI response is correct.

07Payment Terms

For paid plans:

• Billing is monthly or annual, depending on your plan
• Our payment provider processes payment details
• Current prices, usage limits, and plan limits appear on the pricing page
• Annual plan purchases are eligible for a refund when you contact support within 14 days of the initial purchase
• Monthly plan payments are not refundable unless applicable law requires a refund
• Price changes apply to future charges, subject to applicable law and any notice we provide
• Failed payments may result in service suspension

08Intellectual Property

Chatsy and its original content, features, and functionality are owned by Chatsy and protected by international copyright, trademark, and other intellectual property laws.

Our trademarks may not be used without prior written consent. Your use of the Service does not grant you ownership of any intellectual property.

09Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Chatsy is provided "as is" without warranties of any kind
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid us in the past 12 months

This limitation applies regardless of the legal theory under which damages are sought.

10Indemnification

You agree to indemnify and hold harmless Chatsy, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or generate through the Service

11Termination

Either party may terminate this agreement at any time:

• You may stop using the Service and cancel a paid subscription through the available billing controls
• Contact us to request account closure or deletion
• We may terminate accounts that violate these terms
• Upon termination, your right to use the Service ends immediately
• Data retention and deletion follow our Privacy Policy and applicable law

Sections regarding intellectual property, limitation of liability, and indemnification survive termination.

12Changes to Terms

We may update these Terms. We may notify you of material changes by:

• Posting the new Terms on this page
• Updating the "Last updated" date
• Sending an email when required by law or appropriate for the change

Your continued use after the effective date of updated Terms constitutes acceptance, to the extent permitted by law.

13Governing Law and Disputes

These Terms do not limit rights that cannot be waived under applicable law.

Before filing a claim, contact us so both sides can try to resolve the issue. Either party may use any court or dispute process available under applicable law.
